Terms of service
Last updated: 20 October 2026
Welcome, and thank you for choosing Keepy!
These Terms of Service (the “Terms”) explain how Keepy works and what you and we can expect from each other. We have tried to keep them clear and readable. Some parts are legal language that we need, and the most important ones are in bold. Please take a few minutes to read them.
Please note: Section 20 says that most disputes between you and us will be settled by individual arbitration, not in court, and not as part of a class action. You can opt out within 30 days, as Section 20.9 explains. If you live in the EEA, the United Kingdom or Switzerland, Section 21 explains how this works for you.
1. About these Terms
Keepy is operated by Human Interaction, Inc., 7272 Wisconsin Ave, 9th Floor, Bethesda, MD 20814, United States (“Keepy”, “we”, “us” or “our”). KEEPY® is our registered trademark.
These Terms apply to everything we offer, which we call the “Services”:
- our websites and our app at mykeepy.com and keepy.co, including all of their subdomains, and any other website or domain we operate or that is connected to Keepy;
- our AI agents, and the QR codes that lead to them;
- our subscriptions and the products we sell; and
- every related feature, email and service.
By creating an account, buying from us, scanning a Keepy QR code, chatting with a Keepy agent, or using the Services in any other way, you agree to these Terms and to the documents that are part of them:
- our Privacy Policy, Cookie Policy and Consumer Health Data Privacy Policy;
- when you buy something, our Shipping Policy, Returns & Refunds Policy and Limited Warranty; and
- any extra terms we show you for a particular feature or offer (“Supplemental Terms”). Where they differ from these Terms, the Supplemental Terms apply to that feature.
If you do not agree, please do not use the Services.
2. What Keepy is
Keepy is a platform of AI agents. Each agent has its own job, and does that job for you through a simple chat. You tell an agent what it needs to know, and it keeps that information in your account and acts on it within its job. We add new agents and change existing ones over time, and these Terms apply to all of them.
An agent can be reached through a QR code. A QR code is simply a way in. It can be physical, for example printed on a Premium QR Tag or a sticker you buy from us, or digital, for example a printable QR code you print yourself or a code shown on a screen. When someone scans a QR code or opens its link (a “Visitor”), the agent connected to it answers them on your behalf, within the limits you set.
3. Your account
Age. You must be at least 18, and able to enter into a binding contract where you live, to create an account, buy from us or subscribe. A parent or legal guardian may use Keepy to look after a child, and is responsible for that use. Visitors do not need an account. We do not knowingly collect personal information directly from children under 13.
Signing in. You sign in with a one-time code sent to your email, or with a supported sign-in such as Google. Please give us accurate information and keep it up to date. You are responsible for keeping your email account and devices secure, and for what happens in your account. If you think someone else has used it, tell us right away at [email protected].
Your account is yours. Please don’t sell, transfer or share your account, except through the sharing features we provide (Section 6). If we have closed an account for breaking these Terms, its owner may not open a new one without our written permission.
Sanctions. You confirm that you are not in a country under a comprehensive U.S. embargo, and that you are not on any U.S. or other list of prohibited or restricted parties.
4. How our AI agents work
4.1 Behind the scenes. Our agents use artificial intelligence, including AI models provided by other companies (see our Privacy Policy for which ones). To answer, an agent sends those models what you and Visitors write, and the information it needs from your account (“Inputs”). What the agents produce, such as replies, summaries, translations and suggestions, are “Outputs”.
4.2 AI can make mistakes. AI is not perfect. An agent may misunderstand a message, translate it wrongly, save something incorrectly, or say something a person would not say. Please review what your agents keep and show, and check anything important before you rely on it. Outputs are not professional advice of any kind, including medical, veterinary, legal, financial or safety advice.
4.3 Agents act for you. When you set up an agent, you allow it to act on your behalf within its job. Depending on the agent, that can include showing Visitors the information you chose to make visible, talking with them, passing messages and contact details between you, and sending you notifications. Agents talk with Visitors in real time, without you reviewing each message first. You are responsible for the information you give your agents and the settings you choose.
4.4 No training by our AI providers. We use our AI providers’ paid business services. Under their terms, they do not use your Inputs or Outputs to train their own models. How we may use de-identified information to improve Keepy is explained in our Privacy Policy.
4.5 Limits and safety. To protect Keepy and the people who use it, we may set limits on messages, block messages, change which AI models we use, or pause an agent when we believe it is needed for safety, security or legal reasons.
4.6 Our providers’ rules. Please don’t use the agents in a way that breaks our AI providers’ usage policies, such as Google’s Generative AI Prohibited Use Policy.
5. QR codes and Visitors
5.1 You decide what is visible. You choose what an agent may show or tell a Visitor. Anything you make visible can be seen by anyone who scans the QR code or opens its link, and we can’t control what they do with it. Please don’t make visible anything you wouldn’t want a stranger to see, and never put passwords, ID numbers, financial details or your home address behind a QR code.
5.2 Scans. When a QR code is scanned, we may record when it happened and the device’s approximate location (from its IP address). If the Visitor’s browser has already given permission, we may also record a more precise location. We may show this to you. Location information can be inaccurate.
5.3 We can’t promise outcomes. Keepy helps, but many things are outside our control: whether a QR code is scanned, whether a Visitor writes or acts honestly, whether a message or notification arrives in time, phone signal, damage to a code, and service outages. We do not guarantee any particular outcome of an agent’s job, for example that something lost will be returned. Keepy is not a tracking or monitoring service, and does not replace supervision, official identification, insurance or contacting the authorities.
5.4 Meeting people. Anything you arrange with a Visitor, such as meeting, a reward, or sharing contact details, is between you and the Visitor. Please use your judgment, meet in a safe public place, and contact local authorities if you feel unsafe. We are not responsible for how any Visitor or user behaves, online or offline.
5.5 If you are a Visitor. Thank you for scanning! These Terms apply to your use of the Services too. Please share only what you are comfortable with: the owner of the QR code, and anyone they share the agent with, will see your messages and anything you choose to share, such as contact details or your location.
5.6 QR codes you print yourself. How long a code you print lasts, and whether it can be scanned, depends on how and where you print and use it. These codes are not covered by our Limited Warranty.
6. Sharing an agent
Some plans let you invite other people (“Members”) to an agent. Members can see the agent’s chat, including what Visitors write, and receive its notifications. You choose whom to invite and can remove them at any time. Members must accept these Terms. Someone who leaves, or whom you remove, loses access, but may keep copies of what they already saw. If an agent is shared with you, its owner is in charge of it and may remove you.
7. Agents that keep health information
Some agents, such as Loved Ones, can keep health-related information you choose to save about a person, for example an emergency contact, conditions, allergies or medications. They do this so that someone who finds that person can reach their family and pass on what you chose to share.
Keepy is not a medical device, a healthcare provider, an emergency service or a monitoring service. We do not give medical advice, diagnosis or treatment, we do not check health information, and we do not contact emergency services for anyone. In an emergency, call your local emergency number. Any emergency numbers we show are a convenience and may be out of date or wrong for a particular place.
Before such an agent keeps health information, we ask for your consent, as our Consumer Health Data Privacy Policy explains. You may set one up only for yourself, or for someone who has agreed to it or whom you are legally allowed to act for, for example as a parent, guardian or caregiver. Please keep the information accurate and up to date. Keepy is not covered by the U.S. health privacy law HIPAA, because we are not a healthcare provider, health plan or one of their business associates.
8. Your content
8.1 It’s yours. “Your Content” is everything you or your Members give the Services, such as chat messages, information your agents keep, photos, names, contact details and notes, along with the Outputs made for you. You own Your Content, to the extent you owned it to begin with.
8.2 What you allow us to do with it. So that we can run Keepy, you give us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, translate, adapt, display and transmit Your Content, and to let our service providers do the same on our behalf. We use this licence only to operate, secure, provide and improve the Services and to comply with the law. It lasts while Your Content is stored with us, including for a limited time in backups.
8.3 Your promises. You promise that:
- you have the right, and any consent needed, to give us Your Content, including information about other people, and to let us use it as these Terms and our Privacy Policy describe;
- Your Content does not break the law, infringe anyone’s rights or break these Terms; and
- Your Content is accurate as far as you know.
8.4 We don’t pre-check content. We don’t review Your Content before it is shown, and we don’t have to monitor it. We may remove or restrict content that we believe breaks these Terms or the law, or puts someone at risk.
8.5 Ideas and feedback. We love hearing from you. If you send us ideas or feedback, we may use them freely, without paying you or crediting you.
9. Information about other people
If you give Keepy information about someone else, for example a relative, an emergency contact, a child or a Member’s email, you are responsible for having the right to do so. Where the law requires it, please tell them how their information will be used (our Privacy Policy explains this) and get their consent.
10. Using Keepy fairly
We want Keepy to be safe and helpful for everyone. Please don’t, and don’t help anyone else to:
- use the Services for anything unlawful, fraudulent, harmful or deceptive;
- use a Keepy QR code to track, monitor, locate or follow a person without their knowledge and consent, or attach one to someone else’s property without permission;
- harass, threaten, stalk, scam or impersonate anyone, including the owner of a QR code you scan, or pretend to have found something you haven’t;
- upload or show content that is illegal, sexually explicit, hateful, violent, defamatory, infringing, or that exploits minors;
- try to make an agent ignore its instructions, reveal its instructions or other people’s information, or produce harmful content (sometimes called “prompt injection” or “jailbreaking”);
- send spam, gibberish or automated messages, or get around message limits, plan limits or our safety systems;
- scrape or harvest data from the Services, or use them to build a competing product or to train an AI model;
- copy, modify, reverse engineer or decompile the Services, except where the law allows it;
- overload or disrupt the Services, or test their security without our written permission;
- access accounts, agents, QR codes or data that aren’t yours, or use bots to access the Services, except through features we offer for that; or
- resell the Services, or use our name, logos or trademarks without our written permission.
11. Plans, free trials and billing
11.1 Plans. You can use Keepy for free, or subscribe to a paid plan such as Keepy Plus (a “Subscription”). What each plan includes, such as how many QR codes you can create, sharing and discounts, is shown in the app and on our website when you subscribe. Plans may change as Section 16 describes.
11.2 Payment. Payments are handled by Stripe, Inc. and its affiliates (“Stripe”). We never see or store your full card number. By adding a payment method, you allow us, through Stripe, to charge it for the amounts you owe, including tax. Please use only a payment method you are allowed to use.
11.3 Free trial. We may offer a free trial of a Subscription, currently 14 days. To start a trial you add a payment method. If you don’t cancel before the trial ends, it turns into a paid Subscription automatically, and we charge the price shown when you signed up, plus any tax, on the day the trial ends and on every renewal date after that. We will email you before your trial ends. There is one trial per person, household and payment method, and we may refuse or end a trial that is being misused.
11.4 Automatic renewal. Subscriptions renew automatically for the same period (monthly or yearly), and we charge your payment method at the start of each period, at the price at that time, until you cancel.
11.5 Cancelling. You can cancel at any time in the app or by emailing [email protected]. Your plan keeps working until the end of the trial or the period you have paid for. To avoid the next charge, please cancel at least 24 hours before the next period starts.
11.6 Refunds. Except where the law requires otherwise, payments are non-refundable, and we don’t give refunds or credits for part of a period, for features you didn’t use, or for a renewal you forgot to cancel. If you live in the EEA, the United Kingdom or Switzerland, see Section 21.
11.7 Price changes. If we change a Subscription’s price, we will tell you at least 30 days before it applies to you, and the new price starts at your next renewal. If you don’t want to pay it, you can cancel before then.
11.8 If a payment fails. We or Stripe may try again, and your card details may be updated through the card networks. We may also move you to the free plan, where anything beyond its limits may stop working.
11.9 Taxes. Where the law requires, sales tax, VAT, GST or similar taxes are calculated at checkout and added to your charge.
11.10 Disputed charges. If a charge looks wrong, please contact us first, and we’ll sort it out. If you dispute a valid charge with your bank, we may pause your account while the dispute is open.
11.11 Promotions. Discounts, codes and offers follow the terms shown with them. They have no cash value, can’t be combined unless we say so, and may end at any time.
12. Physical products and orders
You need a Keepy account to buy physical products from us, such as Premium QR Tags or stickers that carry a QR code (“Products”). When you place an order, you are offering to buy, and the contract is made when we confirm your order by email. We may refuse or cancel an order, for example because of a pricing mistake, suspected fraud or lack of stock. If we do, we refund what you paid for it. Shipping, returns and defects are covered by our Shipping Policy, Returns & Refunds Policy and Limited Warranty. Product pictures are illustrations, and colours or finishes may differ slightly.
13. Partners and co-branded offers
We may work with other brands and organizations (“Partners”), who may offer Keepy, our agents or QR codes through their own channels, for example in their stores, with their products or under a shared brand. When you use Keepy through a Partner, these Terms still apply between you and us, and the Partner’s own terms may also apply to what you buy from them.
Partners do not get access to your account, your agents or your personal information, unless you choose to share something with them yourself, or the law requires it. We may share only statistics with them that do not identify anyone, such as how many QR codes have been activated.
14. Other companies’ services
Keepy works with services run by others, such as sign-in providers, payment providers, AI providers, carriers, and the websites, apps and social profiles that agents may link to. We don’t control them and aren’t responsible for them or their content. Your use of them is covered by their own terms and privacy policies.
15. Our intellectual property
The Services, including our software, agents, prompts, designs, mascots, text, graphics and trademarks, and any improvements to them, belong to Keepy or our licensors and are protected by law. As long as you follow these Terms, we give you a personal, revocable, non-exclusive, non-transferable licence to use the Services for your own non-commercial purposes. We keep all other rights. Information about how the Services are used and how they perform is ours, including in aggregated or de-identified form, and we may use it to run and improve Keepy.
16. How Keepy changes
We are always improving Keepy. We may add, change, limit, pause or remove any feature, agent, plan, limit or integration. If a change significantly reduces something you have paid for, we will tell you in advance where we reasonably can, and you may cancel your Subscription. Features marked “beta” or “preview” are offered as they are, may change or end without notice, and may be less reliable.
17. Disclaimers
To the fullest extent the law allows, the Services, including all agents, Outputs, QR codes, notifications and content, are provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory. This includes any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy.
We do not promise that the Services will always be available, timely, secure or error-free; that Outputs will be accurate, complete or appropriate; that any message, notification, scan or location will be delivered, recorded or correct; that any agent’s job will have a particular outcome; or that any Visitor or user will behave lawfully or safely. Physical Products are covered only by our Limited Warranty. Some places don’t allow these disclaimers, so some of them may not apply to you.
18. Limitation of liability
To the fullest extent the law allows:
(a) Keepy, our affiliates, and our and their officers, directors, employees, agents, licensors and service providers (the “Keepy Parties”) will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or use, or for the loss of or damage to any item, animal or property. This applies however the loss arises, including from the Services, an agent or Output, a Visitor or other user, or a message or notification that was not delivered, and whatever the legal theory, even if we were told such damages were possible.
(b) The Keepy Parties’ total liability for all claims about the Services or these Terms will not be more than the greater of (i) the amount you paid us in the 12 months before the event that led to the claim, and (ii) US$100.
(c) These limits apply even if a remedy fails of its essential purpose. They do not limit liability that the law does not allow to be limited.
19. Indemnity
To the extent the law allows, you will defend and indemnify the Keepy Parties, and hold them harmless, against claims, losses, damages, liabilities, costs and expenses, including reasonable legal fees, that arise from:
- Your Content, including information about other people;
- your use of the Services, or the use of your account, agents or QR codes by you or your Members;
- your dealings with any Visitor or other user;
- your breach of these Terms; or
- your breach of any law or of anyone’s rights.
We may take over the defence of such a claim at our own cost, and you will cooperate with us.
20. Resolving disputes: arbitration and class action waiver
This section applies if you live in the United States, or anywhere else where it can be enforced. It does not apply to consumers in the EEA, the United Kingdom or Switzerland (see Section 21).
20.1 Talk to us first. Most problems are solved quickly by talking. Before starting arbitration or a small-claims case, you and we each agree to send the other a written notice of the dispute. Send yours to [email protected] with the subject “Notice of Dispute”, and we will send ours to your account email. Include your name, your account email, what the dispute is about and what you are asking for. We will both then try in good faith to resolve it for 60 days, including a call if either of us asks. Deadlines for filing claims are paused during this time.
20.2 Agreement to arbitrate. If the dispute isn’t resolved, you and Keepy agree that any dispute, claim or controversy relating to these Terms, the Services, any Product or our relationship (a “Dispute”) will be resolved only by final and binding individual arbitration, not in court. This includes Disputes that arose before these Terms, and questions about whether a Dispute must be arbitrated. There are three exceptions:
- either of us may bring an individual claim in small-claims court, if it qualifies and stays there;
- either of us may ask a court to stop the infringement or misuse of intellectual property; and
- a court decides whether the class action waiver in Section 20.4 is valid and enforceable.
20.3 How arbitration works. The Federal Arbitration Act governs this section. National Arbitration and Mediation (“NAM”) runs the arbitration under its Comprehensive Dispute Resolution Rules and Procedures and, where they apply, its Mass Filing Supplemental Rules (see namadr.com). One arbitrator decides. The arbitrator may award the same individual relief a court could, including legal fees where a law allows it, but only to the person seeking relief and only as needed for their claim. Unless we both agree otherwise, any hearing is held by video, or in the U.S. county where you live. If NAM is not available, we will agree on another provider, or a court will appoint one.
20.4 Class action and jury trial waiver. You and Keepy may each bring claims against the other only individually, and not as a plaintiff or class member in any class, collective, consolidated or representative proceeding, including a private attorney general action. You and Keepy both waive the right to a jury trial. The arbitrator may not combine more than one person’s claims, except under Section 20.6. If this waiver can’t be enforced for a particular claim or remedy, only that claim or remedy is separated and decided by a court under Section 22.3, after the arbitration of everything else has finished.
20.5 Fees. NAM’s rules decide who pays filing, administration and arbitrator fees. For individual consumer claims under US$10,000 that are not frivolous, we pay those fees, apart from a filing fee up to what you would pay to file in court. Otherwise, each side pays its own legal fees and costs, unless the arbitrator decides differently under the law, or finds a claim was brought in bad faith.
20.6 Mass filings. If 25 or more similar arbitration demands are filed against us, or by us, by the same or coordinated lawyers or organizations within 90 days, NAM’s Mass Filing Supplemental Rules apply. The demands are handled in batches of up to 100, with one arbitrator and one set of fees per batch, and each claim is still decided individually. Before filing, the lawyers on both sides will also meet to discuss resolving the claims, and filing deadlines are paused while they do.
20.7 Time limit. To the extent the law allows, a Dispute must be started within one year after the claim arose, or it can’t be brought.
20.8 Confidentiality. The arbitration, its filings and its award are confidential, except as needed to carry it out, to enforce or challenge an award, or as the law requires.
20.9 Your right to opt out within 30 days. You can opt out of this Section 20 by emailing [email protected] with the subject “Arbitration Opt-Out” within 30 days after you first accept these Terms. Please include your name, your account email and a clear statement that you are opting out. Opting out doesn’t affect anything else in these Terms. If you opt out, Section 22.3 applies to Disputes.
20.10 Changes to this section. If we make a material change to this Section 20, you can reject it by emailing us within 30 days after it takes effect, and the last version you accepted continues to apply to you.
20.11 If part of this section is invalid. Except as Section 20.4 says, if any part of this Section 20 can’t be enforced, the rest still applies.
21. If you live outside the United States
Keepy is run from the United States, and you’re welcome to use it wherever it is lawful to do so. Please make sure your use follows your local laws. If the law where you live gives you consumer rights that these Terms can’t change, those rights still apply, and nothing in these Terms takes them away.
If you live in the EEA, the United Kingdom or Switzerland:
- Section 20 (arbitration) and Section 22.3 (courts) don’t apply to you. You can bring a claim in the courts where you live, and the consumer laws of your country continue to protect you.
- Sections 17 to 19 apply only as far as your local law allows.
- You can withdraw from a purchase of Products within 14 days after you receive them, as our Returns & Refunds Policy explains. You can also withdraw from a Subscription within 14 days after you start it. A free trial is free, and you can cancel it at no cost. If you start a paid Subscription straight away and withdraw within 14 days, we refund you, minus a fair amount for the time you already used.
- If we change these Terms or the Services in a way that affects you negatively, we’ll tell you in advance, and you can end your Subscription before the change, with a refund of any prepaid amount for the time after it ends.
22. Governing law and courts
22.1 These Terms are governed by the Federal Arbitration Act, U.S. federal law and the laws of the State of Delaware, without regard to conflict-of-law rules, subject to Section 21.
22.2 The United Nations Convention on Contracts for the International Sale of Goods does not apply.
22.3 Any Dispute that is not arbitrated, including if you opted out, will be decided only by the state or federal courts in the State of Delaware, except small-claims cases and as Section 21 says. You and we agree to those courts’ jurisdiction.
23. Changes to these Terms
We may update these Terms from time to time. When we do, we’ll post the new version here with a new “Last updated” date. If a change is important, we’ll tell you in advance by email or in the app, unless the change is required by law or is about a new feature. If you keep using Keepy after the change takes effect, you accept it. If you don’t agree, you can stop using Keepy and cancel your Subscription.
24. Ending your use of Keepy
You can stop using Keepy at any time, and delete your account in the app or by emailing us. Deleting your account doesn’t give you a refund. When your account is deleted, your agents stop answering and your QR codes stop working, and we delete Your Content as our Privacy Policy describes.
We may suspend or close your account, remove content or turn off QR codes if we reasonably believe that:
- you have broken these Terms;
- your use puts us, other users or anyone else at risk or in legal trouble;
- the law requires it; or
- we stop offering the Services or part of them.
If we end a paid Subscription for any reason other than your breach, we refund the unused part. Sections 4.2, 5.3, 7, 8.2 to 8.5, 9, 15 and 17 to 25 continue to apply after your account ends, along with anything else that by its nature should.
25. The rest of the legal details
Copyright complaints. We respect creators’ rights. If you believe something on the Services infringes your copyright, please send a notice under the U.S. Digital Millennium Copyright Act to our designated agent: Copyright Agent, Human Interaction, Inc., 7272 Wisconsin Ave, 9th Floor, Bethesda, MD 20814, United States, [email protected]. Please include:
- your physical or electronic signature;
- the copyrighted work;
- the material you believe infringes it, and where it is (for example its link);
- your contact details;
- a statement that you believe in good faith that the use is not authorized; and
- a statement, under penalty of perjury, that your notice is accurate and that you own the copyright or may act for its owner.
We may remove the material and close the accounts of repeat infringers. If your content was removed, you may send a counter-notice as the DMCA provides.
Emails and notices. You agree that we may communicate with you electronically: by email, in the app and in chat. Electronic messages count as “in writing”. Service messages, such as sign-in codes, notifications, receipts and trial reminders, are part of the Services. You can unsubscribe from marketing messages at any time. We send notices to your account email. Legal notices to us go to [email protected], with a copy by post to the address in Section 1.
Transfer. You may not transfer these Terms without our consent. We may transfer them, for example as part of a merger, acquisition or sale of assets.
Events outside our control. We are not responsible for delays or failures caused by events we can’t reasonably control, such as natural disasters, epidemics, war, strikes, government action, carrier delays, internet or power failures, or outages of services we rely on, such as hosting or AI providers.
Export rules. Please follow all export control and sanctions laws that apply to your use of the Services.
The whole agreement. These Terms, with the documents they include, are the whole agreement between you and us about the Services, and replace any earlier agreements about them. If we don’t enforce something, we haven’t given up the right to. If any part of these Terms can’t be enforced, it will be changed as little as needed to make it enforceable, and the rest stays in effect. These Terms give no rights to anyone else, except the Keepy Parties under Sections 18 and 19.
Language. These Terms are written in English. If we provide a translation, the English version applies where the law allows.
California users. Under California Civil Code §1789.3, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by phone at (800) 952-5210.
